Article I
The name of the
organization shall be the West Tennessee West Point Parent's Club.
Article II
Objectives
1. To act as a recognized
vehicle for the dissemination of information to parents, guardians, or relatives of Cadets
of the United States Military Academy located at West Point, New York , hereafter referred
to as West Point.
2. To provide a venue for camaraderie among families and friends of West Point cadets.
3. To promote a favorable attitude toward West Point and its goals and purposes in the
West Tennessee area and community at large.
4. To facilitate recruiting of prospective candidates for West Point from the West
Tennessee area.
Article III
Membership
Membership in the West
Tennessee West Point Parent's Club (hereafter referred to as The Club) shall be open to
persons residing in the West Tennessee area and who are parents, guardians, or relatives
of West Point Cadets or former members of the West Point Corps of Cadets and ascribe to
the objectives of the Club. Associate membership (half dues) may be held by United States
Military Academy Liaison Officers (MALO's), members of the West Point Society of Memphis,
graduates of the United States Military Academy, and any other person who ascribes to the
objectives of the Club.
Article IV
Officers and their
Election
The officers of The Club
shall be President, Vice-President, Secretary, and Treasurer. Each officer shall serve for
the period of one (1) calendar year. The election of the officers shall be at the February
meeting. The term of the officers shall be from the end of the April meeting through the
April meeting of each year. A nominating committee shall be appointed at the December
meeting of each year. Recommendations of the nominating committee shall be presented to
the officers for approval and then shall be submitted to the membership through the
February meeting. Election of officers shall take place at the regular February meeting
each year. The term of office shall begin after the April meeting. No member shall be
elected or appointed to office without his/her prior consent to serve . In the event of
vacancy, the President, or in his absence, the Vice-President, shall with the unanimous
consent of the remaining officers, appoint a member to fill the vacancy.
Article V
Duties of the Officers
Duties of the officers
shall be:
President
The President shall preside at all meetings of the Club; shall be an ex-officio member of
all committees; shall perform such duties as rightly pertain to that office.
Vice
President/President-Elect
The
Vice-President/President-Elect shall assist the President; in the President's absence,
shall perform the duties of the President with all the rights and privileges pertaining to
the office.
Secretary
The Secretary shall
prepare and maintain records of all meetings of The Club; shall submit such records for
the approval of the members; shall assist the President.
Treasurer
The Treasurer shall be the
custodian of the funds of the Club; shall conduct the Club's financial business; shall
keep records of all such transactions; and prepare an annual financial report for the
approval of the membership at the regular February meeting.
Article VI
Meetings
The Club shall hold
meetings at least every other month to include the months of February, April, June,
August, October, and December. Minor deviation from this schedule may be authorized by the
officers of The Club on a case by case basis. The date, time, and place of a meeting shall
be made known to the members at the conclusion of each regular meeting. Any changes to a
regular meeting will be made known to the members at least ten(10) days prior to the
changed meeting date. More than one function may be held in conjunction with the regular
meeting(s). Special meetings may be held at the discretion of the officers of the Club.
Article VII
Dues
The amount of annual
membership dues shall be recommended by the officers of The Club at the regular February
meeting and shall be approved by a majority vote of the members present. Annual membership
dues shall be due by 1 July. Annual membership dues are deemed paid only for the period 1
July-30 June. Annual dues shall not be pro-rated and are non-refundable.
Article VIII
Committees
Necessary standing and /or
ad hoc committees shall be formed at the recommendation of the officers of The Club.
Service on committees is for a period of one (1) year, or until the function is complete.
A majority vote shall carry on all committees. Only members in good standing may serve on
committees.
There shall be a least two (2) separate full Board meetings, including the officers of The
Club, all committee members, and all appointees, each year. The President may call other
Board meetings with the approval of the officers of The Club.
Article IX
Rules
Robert's Rules of Order
shall govern in all matters not covered in these By-laws.
Article X
Amendments
The By-laws shall be
amended by a two-thirds (2/3) vote of the members present in person at a regular meeting
of The Club. No amendment shall be voted on without at least two (2) weeks notice in
writing to the members.
