Constitution

The Constitution and By-Laws of the West Point Society of Michigan are as adopted by a quorum of WPSMI membership at its annual meeting on March 31, 1979 and amended at its annual meetings on March 29, 1980, March 14, 1992, and March 25, 2000.

 

ARTICLE I
(Name)
The name of the Society shall be the West Point Society of Michigan, hereinafter referred to as the Society. This organization is organized and operated exclusively for the purposes described in section 501(c)(3) of the Internal Revenue Code.
ARTICLE II
(Object)
The object of the Society is to further the public understanding of the United States Military Academy by providing an organization wherein graduates and former cadets may associate in order to foster the Academy's aims, ideals, standards, and achievements, and to promote public understanding thereof.
ARTICLE III
(Government)
The government of the Society shall be confided in an executive body consisting of twelve (12) of its Regular Members, known as the Board of Governors.
ARTICLE IV
(Dues)
Under the direction of the Board of Governors, the dues as stipulated by the By-Laws, and any other income, shall be used to defray the expenses made necessary in the proper conduct of the business of the Society.
ARTICLE V
(Amendments)
Amendments to, or changes in, the Constitution and By-Laws may be made at any meeting of the Society by a two-thirds vote of the members, either present or represented by proxy. Such proposed amendments or changes shall be considered only when the Secretary shall have distributed copies of the same to the members at least seven (7) days before the meeting.
ARTICLE VI
(Dissolution)
In the event of dissolution, all assets, real and personal, shall be distributed to such organizations as are qualified as tax exempt under Section 501(c)(3) of the Internal Revenue Code or the corresponding provisions of a future United States Internal Revenue Law.
