ARTICLE I ORGANIZATIONAL STATUS, NAME, AND AFFILIATIONS

Section 1. The organization shall be known as a club and is organized under the statutes of the State of Missouri, under chapter 355 RSMo 1978.

Section 2. The name of the organization shall be The West Point Parents' Club of Greater Kansas City.

Section 3. The club is associated with, and recognized as an unofficial support group of the United States Military Academy located at West Point, New York. This is documented in the 1990-91 Catalog of the said Academy, in their One Hundred Eighty-Eighth Year, Chapter IX, Supporting Activities, page 137, and is under the office of: Directorate of Academy Relations; and the club is further recognized by the Kansas City Society of West Pointers.

Section 4. The duration of this club shall be in perpetuity.

Section 5. The club shall be always a NOT FOR PROFIT ORGANIZATION, and any use of the club by or as a FOR PROFIT ORGANIZATION shall be a cause for permanent disbarment from the club for any and all members involved in such.

Section 6. The club shall not discriminate against race, creed, religion or ethnic background at any point of time in its duration.

Section 7. The name of this club may not be changed unless directed to do so by U.S. Government Officials.


ARTICLE II PURPOSES AND OBJECTS OF THE CLUB

Section 1. To promote an exchange of information and experience to help cadets' parents or guardians and cadets enjoy The United States Militarv Academy and benefit through the experience of those who have been through it.

Section 2. To help The United States Military Academy select cadets for admission.

Section 3. To help build and maintain positive attitudes toward The United States Military Academy among the American public.

Section 4. To assist candidates and their families in whatever manner suitable and proper to obtain full information regarding the Academy and life there at, and in such other way as the occasion may demand.

Section 5. To provide close association among the members through social diversion, recreational entertainment and other such purposes as may be desired or needed by the parents, guardians, or cadets.

 
ARTICLE III MEMBERS AND MEMBERSHIP

Section 1. Regular Members: parents or guardians of cadets, or graduates of West Point who live in Western Missouri or Eastern Kansas.

Section 2. Associate Members: those who move from or do not live in the areas designated in Article III, Section 1 but are parents of cadets or graduates; graduates of the Academy; members of the West Point Society; those who are closely associated with the cadets such as grandparents, aunts, uncles, or brothers or sisters of cadets, who no longer reside in the family home and do not qualify to be in the Section 1 family membership but still desire to be in the club.

Section 3. Honorary Lifetime Members: those who are elected by two-thirds vote of members at any meeting, who have achieved or merited such a recognition of distinction.

ARTICLE IV VOTING RIGHTS OF MEMBERS

Section 1. All regular, associate members, and honorary lifetime members who are in good standing during the course of business before the club have one vote per person.

Section 2. Votes of club business and decisions shall be by hand count unless the majority of the members in attendance want a polled-by-name, or a written ballot vote. All matters dealing with the sensitivity of such issues as dismissal or disbarment shall always be by written ballot.

Section 3. A quorum of twenty-five percent of the paid membership of regular members is necessary to conduct any binding business of the club.

ARTICLE V DUES

Section 1. Membership dues will be set at $35.00 per year, per family unit, for regular and associate members and will remain so until a change is necessitated by two-thirds vote of regular members.

Section 2. There will be no prorating of dues.

Section 3. All dues are to be paid annually and become due no later than 1 July but are not in arrears until the last day of November; and no dues will be carried longer than one year in arrears.

Section 4. A member in good standing pays dues.

 

ARTICLE VI MANAGEMENT OF THE CLUB

Section 1. The management shall be vested in the officers who will also be the Board of Directors.

Section 2. The officers and their duties shall be:

A) President--the President shall preside at all meetings; shall be an ex-officio member of all committees; shall perform all duties as are incidental to the office and are properly required of him or her and shall notify all members of meetings and special events and shall keep an up-to-date Membership list for notifications; and the membership list shall be procured from the membership chairman on a regular basis.

B) Vice-President--in the absence of the President, the Vice-President shall exercise functions of the President and shall be vested with all of his or her powers; the Vice President shall be the Membership Chairperson and keep all membership rolls up to date

C) Recording Secretary--shall prepare and keep records and minutes of all meetings. Shall keep and maintain all pictures, news articles, and other pertinent artifacts as necessary to document club progress and activity; and as correspondence secretary shall be responsible for the contact between the club and cadets or others who require some social but official contact from the club.

D) Treasurer--shall be custodian of the funds of the club; shall conduct its banking business and shall prepare and distribute a financial statement for each regular business meeting; shall maintain the non profit status for the organization; shall work with the ball committee.

Section 3. The elected officers become the Board of Directors for the purposes of performing such duties as required by Federal or State law as the club is a not-for-profit organization.


ARTICLE VII ELECTION OF OFFICERS

Section 1. Election of officers shall be held annually.

Section 2. At the November meeting, the President shall seek individuals interested in serving on the GKCWPPC Board.

Section 3. The  officer recommendations to be sent to the membership at least two (2) full weeks prior to Winter meeting; and the election will be made at the Winter meeting. Votes may be cast by mail if the member wants to vote and cannot attend the Winter meeting. Nominations may be made from the floor at the Winter meeting after the nominating chairperson has read the names of those running for office.

Section 4. The officers will take office immediately following the Winter meeting.

Section 5. No member shall be recommended for office unless his or her consent to serve has been obtained.

Section 6. Only regular members may serve as officers.

Section 7. The officers shall be elected for a one year term in office.

Section 8. Should an officer resign for any reason prior to the completion of his or her term in office, the President shall appoint an interim officer until the term of office is expired.

ARTICLE VIII MEETINGS

Section 1. There shall be five (5) required meetings of the club per year these being September, November, February, April and June. 

Section 2. Additional meetings may be held from time to time at the direction of the President or the full Board of Directors in the absence of the President.

Section 3. Executive Board meetings may be called by the President to conduct club business between the regular meetings of the club and the President may choose to include the standing committee chairpersons to expedite any club business requiring a quorum.

ARTICLE IX COMMITTEES

Section 1. The President shall appoint the committee chairpersons and shall assist the chairpersons in selection of committee persons to serve for one (1) year terms.

Section 2. Special committees shall be appointed by the President as he or she deems necessary on a majority vote by the members at a regular meeting.

Section 3. The vote of the majority shall be the vote of the committee but any committee member with a dissenting view may publicly voice his or her opinion at the regular meeting.

Section 4. The standing committee, as needed, shall be:

A) By-laws Committee (ad hoc, as needed)                         F) Birthday Cards

C) Ball Committee                                                                H) Web Site Commitee
D) Meetings Committee
E) Liaison Committee

Section 5. The duties of the committees rest with the chairperson of each committee to be a viable and working committee.

Section 6. The duties of each committee are:

A) By-laws Committee: shall submit revisions or additions to the by-laws for approval by the officers and members of the club, the by-laws committee shall draft revisions or additions and send a copy at least 30 days in advance to the President and he or she will distribute them to the membership with a recommended or not recommended statement two (2) full weeks prior to the next business meeting of the club.

B) Honorary lifetime Members Committee: shall recommend to the membership prospective Honorary lifetime Members based on the contribution to the club or to The United States Military Academy.

C) Ball Committee: shall be in charge of securing the place of the Ball, confirming prices or costs, contacting the other four (4) service academies and others who are included in the annual mailing for invitation to the Ball, and general supervision of the conduct of the Ball.

D) Meetings Committee: shall be charged with the duty and responsibility of securing the places to meet, then of informing the President of such plans as are made by the Meetings Committee at least thirty (30) days prior to the meeting.

E) Liaison Committee: shall be constituted by being all appointed by the President and shall be responsible for imparting news from the Academy to those that are in need of notification prior to a regular meeting or mailing; and shall consist of the following members:

1) Firstie Parent Liaison
2) Cow Parent Liaison
3) Yearling Parent Liaison
4) Plebe Parent Liaison
5) West Point Society Liaison
6) USMA Field Officer Liaison

The Committee will be co-chaired by the Firstie Parent Liaison and the West Point Society Liaison. Any liaison position not filled will have to be shared by other liaison committee members.


ARTICLE X RULES OF ORDER

Section 1. The order of business shall be:

A) Roll Call
B) Reading of the Minutes of the Preceding Meeting
C) Reports of Treasurer
D) Reports of Other Officers
E) Reports of Committees
F) Old and Unfinished Business
G) New Business
H) Adjournment

Section 2. Any rules not covered by the by-laws will be covered by the Roberts Rules of Order.

ARTICLE XI AMENDMENTS

Section 1. The by-laws may be amended by a two-thirds majority vote of a quorum of the members, and no amendment shall pass without a full mailout notification to the membership at least two weeks prior to the business meeting at which the amendment is introduced.

Section 2. Mail in proxies will not constitute a quorum.

Section 3. Article I, Sections 2, 5, 6 and 7 may not be amended.

ARTICLE XII DISSOLVEMENT

Should the club dissolve, after the Board of Directors makes all the proper provisions for the payment of any and all liabilities, the assets shall be sold or converted to cash and the entire amount of cash on hand from the club will be sent to The United States Military Academy, Cadet Activities Fund for
use by them as they see fit for the enhancement of cadet activities, except for One Hundred and Fifty Dollars, which will be given to the West Point Society of Kansas City for the use of candidate activities in the Greater Kansas City Area.
